BrewOS POS | Bscale Labs

These Terms of Service ("Terms") govern access to and use of BrewOS POS, including the BrewOS back office, POS terminal, API, software, documentation, implementation support, maintenance, updates, and related services (collectively, the "Service").
The Service is operated by Bscale Laboratories, Incorporated, doing business as Bscale Labs ("Bscale Labs," "we," "us," or "our"). "Customer" means the business or organization that enters into an order form, service agreement, statement of work, subscription, or other written agreement with Bscale Labs for the Service. "Users" means the Customer's owners, managers, employees, contractors, staff, or other people authorized to use the Service.
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a business or organization, you represent that you have authority to bind that business or organization. These Terms should be read together with any separate order form, service agreement, statement of work, data processing agreement, support agreement, or other written agreement between Bscale Labs and the Customer. If there is a conflict, the signed written agreement controls for that conflict.
1. What BrewOS POS Does
BrewOS POS is a business operations platform for sales tracking, point-of-sale workflows, menu management, staff access control, device management, inventory tracking, shift management, receipts, Z-reports, operational reports, and offline-capable POS sync. It is designed for small to medium-sized businesses, including specialty coffee shops.
BrewOS POS is not:
- A tax-integrated POS.
- A BIR-integrated system.
- A payment processor.
- A bank, e-wallet provider, or money transmission service.
- A payroll system.
- An accounting system of record unless a separate written agreement says otherwise.
- Legal, tax, accounting, employment, or financial advice.
The Customer remains responsible for its own tax compliance, official receipts or invoices, accounting records, payment verification, employment practices, consumer obligations, and legal compliance.
2. Eligibility and Authorized Use
The Service is for business use only. It may only be used by Customers and Users authorized by Bscale Labs or by the Customer's administrators.
Users must:
- Use the Service only for lawful business purposes.
- Use only their own assigned account, PIN, device, or credentials.
- Keep credentials confidential.
- Follow Customer policies and applicable laws.
- Promptly report suspected unauthorized access, lost devices, compromised credentials, or security incidents.
The Customer is responsible for all activity under its accounts, devices, branches, and Users, except to the extent caused by Bscale Labs' breach of these Terms or a separate written agreement.
3. Customer Administrators
Customer administrators may invite staff, assign roles, configure permissions, manage devices, configure menus, manage branch settings, view reports, and perform other administrative actions. The Customer is responsible for choosing appropriate administrators, reviewing role and permission assignments, removing access for departed staff, disabling lost, stolen, retired, or unauthorized POS devices, keeping activation codes and credentials secure, and training Users on proper use of the Service.
4. Accounts, Passwords, PINs, and Devices
The Service uses account credentials, POS PINs, role-based permissions, device activation, device tokens, and sessions to control access.
Users must not:
- Share passwords or PINs.
- Reuse another person's account.
- Write credentials where unauthorized people can access them.
- Attempt to bypass device activation or branch restrictions.
- Use unauthorized devices to process orders or sync data.
Customer administrators should immediately disable accounts and devices that may be compromised.
5. POS Terminal and Offline Mode
The POS terminal may continue operating during limited connectivity by storing selected data locally on the device and syncing with the server later. Offline-capable operation may include local menu and staff snapshots, orders, payments, tickets, shifts, refunds, cash movements, print attempts, audit events, and sync outbox records.
The Customer acknowledges that:
- Local device data may not immediately appear in the back office until sync completes.
- Sync conflicts, retries, duplicate prevention, or failed sync events may require review.
- Device loss, theft, damage, reset, or storage corruption can affect unsynced local data.
- Regular syncing and device security are Customer responsibilities.
- Offline mode is an operational continuity feature, not a guarantee that every device or transaction will always sync without intervention.
6. Orders, Payments, Receipts, and Reports
The Service records operational sales information, including orders, order items, discounts, refunds, voids, payment methods, payment amounts, shifts, receipts, reports, and related audit events.
The Customer is responsible for:
- Verifying cash and e-wallet payments.
- Confirming payment proof before marking an order paid.
- Correcting mistakes through approved workflows.
- Maintaining any required official tax, invoice, receipt, accounting, or regulatory records outside BrewOS POS where required.
- Reviewing reports and exports before relying on them for business, tax, or accounting decisions.
BrewOS-generated receipts, print previews, reports, CSV exports, Z-reports, and analytics are operational tools. They are not a substitute for official tax filings, certified accounting records, or legal compliance procedures unless a separate written agreement expressly says otherwise.
7. Inventory and Stock Data
The Service may track stock items, units, thresholds, deduction rules, sale deductions, manual corrections, spoilage, damage, staff use, count corrections, alerts, and stock movement history. The Customer is responsible for configuring inventory items and deduction rules accurately, reviewing stock alerts and negative-stock states, performing physical counts and corrections as needed, training staff on stock movement reasons and notes, and deciding how inventory data is used for accounting or procurement.
Inventory calculations depend on the data entered by the Customer and Users. Bscale Labs does not guarantee that inventory records will match physical stock if items, rules, sales, corrections, or counts are inaccurate or incomplete.
8. Acceptable Use
You may not use the Service to:
- Violate any law, regulation, court order, or third-party right.
- Process data you do not have the right to process.
- Store unnecessary sensitive personal information in notes, ticket names, reasons, payment proof references, or other free-text fields.
- Upload malicious code or attempt to disrupt the Service.
- Probe, scan, bypass, or test the vulnerability of the Service without written authorization.
- Reverse engineer, decompile, copy, resell, sublicense, or commercially exploit the Service except as allowed by a written agreement.
- Attempt to access another customer organization's data.
- Interfere with rate limits, authentication controls, branch restrictions, device controls, audit logs, or sync mechanisms.
- Use automated tools to scrape, overload, or abuse the Service.
- Misrepresent payment status, staff identity, approval authority, or transaction history.
We may suspend or restrict access if we reasonably believe use of the Service violates these Terms, threatens the Service, creates legal risk, compromises security, or harms Bscale Labs, a Customer, Users, or third parties.
9. Customer Data
"Customer Data" means data submitted to, generated in, or processed by the Service on behalf of the Customer, including branch configuration, menu data, staff records, device records, sales records, payment records, inventory records, reports, audit logs, and sync records.
As between Bscale Labs and the Customer, the Customer owns its Customer Data, subject to Bscale Labs' rights to process it as necessary to provide, secure, maintain, improve, support, and enforce the Service and related agreements. The Customer grants Bscale Labs a non-exclusive, worldwide license to host, copy, transmit, process, display, modify, back up, restore, and otherwise use Customer Data as necessary to provide the Service, support the Customer, comply with law, protect the Service, and enforce agreements.
Bscale Labs will not sell Customer Data.
10. Privacy and Data Protection
Use of the Service is subject to the BrewOS POS Privacy Policy.
The Customer is responsible for:
- Providing privacy notices to people whose personal information is entered into the Service.
- Obtaining any required consent or other lawful basis.
- Responding to data subject requests where the Customer controls the data.
- Using roles, permissions, and device controls appropriately.
- Avoiding unnecessary sensitive personal information in free-text fields.
- Complying with the Philippine Data Privacy Act of 2012 and other applicable privacy laws.
When Bscale Labs processes Customer Data on behalf of the Customer, Bscale Labs will process it according to these Terms, the Privacy Policy, any applicable data processing agreement, and the Customer's lawful documented instructions.
11. Support, Implementation, and Changes
Bscale Labs may provide implementation, migration, configuration, training, maintenance, or support services as described in a separate written agreement.
We may modify, update, improve, or discontinue features from time to time. We will use reasonable efforts to avoid materially reducing core functionality during an active paid term, unless required for security, legal compliance, abuse prevention, technical reasons, or changes agreed with the Customer. Beta, preview, experimental, or roadmap features may change, break, or be discontinued at any time.
12. Availability, Maintenance, and Backups
We use reasonable efforts to operate the Service reliably. However, the Service may be unavailable or degraded because of maintenance, updates, infrastructure failures, network outages, third-party service issues, device issues, force majeure events, security incidents, or other causes.
Backup, retention, restore, and disaster recovery commitments apply only as stated in a separate written agreement or as configured for the relevant deployment. Unless a separate written agreement says otherwise, Bscale Labs does not guarantee uninterrupted access, zero data loss, instant restore, or a specific recovery time or recovery point.
The Customer should maintain its own business continuity procedures, including procedures for connectivity outages, device failure, manual payment verification, and legally required records.
13. Third-Party Services
The Service may depend on third-party infrastructure and services, such as hosting providers, database providers, cache providers, network protection providers, object storage providers, operating systems, app stores, device platforms, printers, e-wallet apps, and internet service providers.
Bscale Labs is not responsible for third-party services outside its reasonable control. Third-party services may be subject to their own terms, privacy policies, limitations, outages, fees, and security practices.
14. Fees and Payment
Fees, billing schedule, taxes, renewal terms, implementation charges, support charges, and payment methods will be stated in a separate order form, statement of work, invoice, subscription, or written agreement.
Unless a separate written agreement says otherwise, fees are non-refundable once paid; the Customer is responsible for applicable taxes, duties, and government charges; late payment may result in suspension after reasonable notice; and Bscale Labs may charge for custom work, migration, training, emergency support, data recovery, or out-of-scope services.
15. Intellectual Property
Bscale Labs and its licensors own the Service, software, source code, design system, interfaces, workflows, documentation, trademarks, logos, and related intellectual property. These Terms do not transfer ownership of the Service to the Customer or Users.
Subject to these Terms and the applicable written agreement, Bscale Labs grants the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Service for the Customer's internal business operations during the applicable term. The Customer may not copy, modify, distribute, resell, sublicense, reverse engineer, or create derivative works from the Service unless expressly allowed by law or by a written agreement with Bscale Labs.
16. Feedback
If the Customer or any User provides suggestions, ideas, bug reports, feature requests, or other feedback, Bscale Labs may use that feedback without restriction or compensation, provided Bscale Labs does not disclose Customer confidential information in doing so.
17. Confidentiality
Each party may receive confidential information from the other party. Confidential information includes non-public business, technical, financial, operational, security, product, customer, staff, and pricing information that should reasonably be understood as confidential.
Each party will use reasonable care to protect the other party's confidential information and will use it only for purposes related to the Service or the applicable agreement. Confidentiality obligations do not apply to information that is public through no fault of the receiving party, already known without restriction, independently developed, rightfully received from a third party, or required to be disclosed by law.
18. Security Responsibilities
Bscale Labs will use reasonable technical and organizational safeguards designed to protect the Service. The Customer is responsible for maintaining secure devices and networks, restricting administrator access, using strong passwords and secure PIN procedures, keeping activation codes confidential, promptly disabling accounts and devices that should no longer have access, reviewing audit logs and reports where appropriate, and notifying Bscale Labs promptly about suspected security incidents involving the Service.
Bscale Labs may investigate security issues and may suspend or restrict accounts, devices, or access where reasonably necessary to protect the Service or Customer Data.
19. Data Export and Return
The Service may provide reports, CSV exports, receipt records, Z-report exports, inventory exports, or other export features. Additional data export, migration, or deletion assistance may be subject to technical feasibility, security review, authorization, support scope, fees, and a separate written agreement.
After termination, data return, deletion, retention, and backup handling will be governed by the applicable written agreement. If there is no written agreement, Bscale Labs may retain Customer Data for a reasonable period for transition, backup, legal, accounting, security, and dispute-resolution purposes, then delete or de-identify it according to its normal processes.
20. Suspension and Termination
Bscale Labs may suspend or terminate access to the Service if:
- The Customer fails to pay amounts due.
- The Customer or a User materially breaches these Terms or another agreement.
- Use of the Service creates security, legal, operational, or reputational risk.
- Bscale Labs is required to do so by law or legal process.
- The Customer's agreement expires or is terminated.
- Continued service becomes impractical because of force majeure, third-party service loss, infrastructure constraints, or other circumstances outside reasonable control.
The Customer may stop using the Service at any time, but fees and termination rights are governed by the applicable written agreement. Sections that by their nature should survive termination will survive, including confidentiality, intellectual property, payment obligations, privacy and data protection, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
21. Disclaimers
To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis, except as expressly stated in a separate written agreement.
Bscale Labs disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, perfect accuracy, complete security, or that the Service will meet every business, accounting, tax, operational, regulatory, or reporting need.
Bscale Labs does not warrant that:
- Reports, exports, receipts, Z-reports, inventory counts, or sales summaries will be accurate if Customer-entered data is inaccurate or incomplete.
- Offline sync will always complete without conflicts, retries, review, or data recovery.
- Hardware, printers, tablets, networks, operating systems, e-wallet apps, browsers, or third-party services will work without issue.
- The Service will satisfy tax authority, BIR, accounting, employment, or industry-specific requirements unless expressly stated in a separate written agreement.
22. Limitation of Liability
To the maximum extent permitted by Philippine law, Bscale Labs and its officers, directors, employees, contractors, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, loss of goodwill, loss of data, business interruption, cost of substitute services, or unauthorized access caused by Customer-controlled credentials, devices, networks, or staff actions.
Unless a separate written agreement states a different cap, Bscale Labs' total liability arising out of or relating to the Service will not exceed the amount paid by the Customer to Bscale Labs for the Service during the three months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
23. Indemnification
The Customer agrees to indemnify, defend, and hold harmless Bscale Labs and its officers, directors, employees, contractors, agents, affiliates, and licensors from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney's fees, arising from:
- Customer Data.
- The Customer's or Users' use of the Service.
- The Customer's business operations, products, services, customers, staff, payments, taxes, inventory, or legal compliance.
- The Customer's breach of these Terms or another agreement.
- The Customer's violation of law or third-party rights.
- Unauthorized use caused by the Customer's failure to secure accounts, PINs, devices, activation codes, networks, or staff access.
24. Government, Tax, and Regulatory Compliance
The Customer is solely responsible for determining which laws and regulations apply to its business and for complying with them. This includes, where applicable, tax registration, reporting, official invoices, official receipts, and BIR requirements; consumer protection laws; employment and labor laws; data privacy laws; accounting and recordkeeping obligations; payment, e-wallet, cash handling, and anti-fraud procedures; and local permits and business licensing requirements.
BrewOS POS may help record operational information, but it does not replace the Customer's legal, tax, accounting, or compliance obligations.
25. Force Majeure
Bscale Labs will not be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government action, internet outages, power failures, third-party infrastructure failures, cyberattacks, epidemics, civil unrest, or other events outside reasonable control.
26. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice in a reasonable manner, such as through the Service, by email, or through the applicable customer organization. Updated Terms will apply from the effective date stated in the updated Terms. Continued use of the Service after the effective date means the updated Terms apply to future use.
27. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. The parties will first attempt to resolve disputes through good-faith negotiation. If the parties cannot resolve a dispute through negotiation, the dispute will be submitted to the appropriate courts of the Philippines, unless a separate written agreement requires a different venue or dispute resolution process.
28. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be interpreted or replaced to best accomplish its original purpose to the extent permitted by law.
